Terms and Conditions

This agreement is entered into between OXWON (hereinafter referred to as the "Company," "we," or "our") and you (hereinafter referred to as the "Client" or "you"). OXWON is an IT service provider primarily offering services such as Web & App Development, Web Hosting, Computer Service, Networking, Software Solution, Server Management, and RDP Cloud services. By using these services, you agree to be bound by these Terms and Conditions. Please read them carefully.

1. Services

1.1. OXWON provides the following services:

* Web & App Development

* Web Hosting

* Computer Service

* Networking

* Software Solution

* Server Management

* RDP Cloud

1.2. The details and specific terms of the services will be outlined in separate service agreements or proposals.

1.3. OXWON reserves the right to modify, suspend, or terminate its services without prior notice.

2. Client Responsibilities

2.1. The Client will be responsible for providing all necessary information and materials in a timely manner to enable OXWON to provide the services efficiently.

2.2. The Client warrants that the materials provided do not infringe upon the intellectual property rights of any third party.

2.3. The Client agrees to comply with all applicable laws and regulations regarding the use of the services.

2.4. For Web Hosting and RDP Cloud services, the Client will be responsible for maintaining the security of their account and the confidentiality of their login credentials.

3. Payment

3.1. Fees for the services will be specified in separate agreements or pricing schedules.

3.2. All payments must be made within the specified timeframe. Late payments may be subject to interest charges.

3.3. OXWON reserves the right to change its pricing structure at any time, with notification to the Client.

3.4. In the event of cancellation of services by the Client, the refund policy will be determined in the individual agreements.

4. Intellectual Property

4.1. Unless otherwise agreed upon, all intellectual property developed by OXWON during the provision of services will remain the property of OXWON.

4.2. The Client may be granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose.

4.3. The Client shall not reproduce, distribute, or modify any intellectual property belonging to OXWON without prior written consent.

5. Warranty and Disclaimer

5.1. OXWON will use its best efforts to provide the services in a professional and competent manner.

5.2. However, OXWON does not warrant that the services will be uninterrupted or error-free.

5.3. To the maximum extent permitted by law, OXWON shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of the use of or inability to use the services.

6. Confidentiality

6.1. OXWON will keep any confidential information shared by the Client confidential and will not disclose it to third parties unless required by law.

6.2. Personal information provided by the Client will be managed in accordance with our Privacy Policy, which is available on our website.

7. Termination

7.1. Either party may terminate this agreement by providing written notice to the other party if the other party materially breaches these Terms and Conditions and fails to cure the breach within thirty (30) days of receiving the notice.

7.2. OXWON reserves the right to terminate this agreement at any time without cause, with reasonable advance notice to the Client.

7.3. Upon termination, all outstanding payments owed by the Client to OXWON will become immediately due and payable.

8. Governing Law and Dispute Resolution

8.1. This agreement shall be governed by and construed in accordance with the laws of India.

8.2. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts in Delhi.

9. Miscellaneous

9.1. This agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether oral or written.

9.2. No amendment or modification of this agreement shall be valid unless it is in writing and signed by both parties.

9.3. If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
